• Pay invoices as agreed in service contracts

• Review and approve deliverables within agreed timelines

• Maintain the confidentiality of project-related information

4. Payments and Refunds

• All pricing will be outlined in the respective service agreement or proposal

• Payment terms are typically monthly or project-based and due as specified

• Refunds are issued only under specific conditions where agreed deliverables are not met due to fault by Digitaline Ltd

• No refunds will be issued for work already delivered or initiated unless otherwise stated in writing

5. Intellectual Property

All content, code, designs, and other materials created by Digitaline Ltd for clients will remain the property of the client once the full project payment has been made, unless otherwise agreed.

We reserve the right to showcase completed work in our portfolio unless the client requests confidentiality in writing.

6. Limitation of Liability

While we strive to deliver high-quality services, Digitaline Ltd will not be liable for:

• Any indirect, incidental, or consequential damages

• Loss of profits, data, or business interruption resulting from service delays or technical issues beyond our control

• Any third-party service failures (e.g., hosting providers or payment gateways)

7. Confidentiality

Both parties agree to keep any confidential or proprietary information received during the course of service engagement strictly confidential, unless legally required to disclose.

8. Termination

Either party may terminate service agreements with written notice. Upon termination, the client is responsible for paying for all completed work up to the termination date.

9. Changes to Terms

We reserve the right to update or modify these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Rwanda. Any disputes shall be resolved in the courts of Kigali, Rwanda.
